1. Agreement to Terms

By accessing or using Clivio ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Clivio is an AI-powered video search platform that allows users to search within their video library using natural language queries. We provide semantic search, video transcription, AI chat features, and collection management for YouTube videos.

3. User Accounts

3.1 Account Creation

You must create an account to use Clivio. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activities under your account.

3.2 Age Requirement

You must be at least 13 years old to use Clivio. If you are under 18, you must have parental consent.

3.3 Account Security

You are responsible for maintaining the confidentiality of your password. Notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription tiers:

  • Free: 3 videos, 5,000 tokens/month
  • Starter ($9/month): 20 videos, 50,000 tokens/month
  • Pro ($29/month): 200 videos, 500,000 tokens/month
  • Team ($99/month): Fair usage policy, 5 team seats

4.2 Token Usage

Tokens are consumed when you search, chat with videos, or generate summaries. Token limits reset monthly. Unused tokens do not roll over.

4.3 Payment

Paid subscriptions are billed monthly in advance. You authorize us to charge your payment method on a recurring basis. We accept major credit cards and other payment methods as offered.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial months except as required by law.

4.5 Fair Usage Policy (Team Plan)

The Team plan is subject to fair usage. We reserve the right to contact you if usage significantly exceeds typical patterns or to adjust limits to prevent abuse.

5. Acceptable Use

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload content you don't have rights to use
  • Use the Service to harass, abuse, or harm others
  • Attempt to reverse engineer or exploit the platform
  • Use automated tools to scrape or mass-download content
  • Share your account credentials with others
  • Circumvent usage limits or billing
  • Use the Service for illegal content or activities

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of the YouTube video URLs and collections you create. By using Clivio, you grant us a license to process, transcribe, and analyze your videos to provide the Service.

6.2 YouTube Terms

You acknowledge that videos are hosted on YouTube and subject to YouTube's Terms of Service. You must comply with YouTube's terms when using their content through Clivio.

6.3 Our Platform

Clivio and all its features, including AI models, search algorithms, and user interface, are owned by us and protected by intellectual property laws.

7. AI-Generated Content

Clivio uses AI to generate summaries, search results, and answers to your questions. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You should verify important information independently.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We are not liable for service interruptions.

9. Data and Privacy

Your use of Clivio is also governed by our Privacy Policy. We collect and process data as described in the Privacy Policy to provide and improve our services.

10. Termination

We may suspend or terminate your account if you violate these Terms or engage in fraudulent or abusive behavior. You may delete your account at any time from your account settings.

11. Disclaimers and Limitation of Liability

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE ACCURACY, RELIABILITY, OR AVAILABILITY.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold Clivio harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or through the platform. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law
